Terms of service

The tie-out is a calculation. It is not an audit opinion.

Effective 21 October 2026. Official address: https://stripesentinel.com/terms

These terms are a contract between the Stripe account that installs Sentinel Payout & Balance Auditor and [Legal entity name] (“Sentinel”). The App is a read-only Dashboard extension. It is not a registered accounting firm, and it does not certify your books.

1. Agreement

By installing the App, opening it in the Stripe Dashboard, or paying for a plan, the merchant agrees to these terms and to the privacy policy. The person who clicks install must have authority to bind the merchant, as set out in section 4. If that person does not have authority, they must not install the App.

The merchant is a business. These terms are not a consumer contract. “You” means the merchant and the Dashboard users who act for it.

2. What the App does

Sentinel is a user-interface extension that Stripe runs inside the Dashboard sandbox. With the read permissions you approve, it reads balance transactions, payouts, charges, refunds, and disputes, and it calculates a gross-to-net waterfall in that session. A payout is marked reconciled only when the variance the App calculates is exactly zero in integer minor units. The App can also show refund fee burn, posted conversion and cross-border fees, and whether funds from a won dispute are still held after 48 business hours. You can copy a plaintext ledger note.

The App does not move money, create refunds, edit charges, or change disputes. It does not keep a copy of the ledger. The privacy policy describes that processing.

The current install does not charge a card. Paid plans described on the website, including CSV, an ERP journal file, and paging past 10,000 balance transactions, are offered only when Sentinel makes them available. Until then, those items are not part of the service you receive.

3. Not certified accounting, tax, or audit advice

Sentinel is not a registered accounting firm, auditor, or tax adviser.

The App performs deterministic arithmetic on Stripe balance transactions and related payout, charge, refund, and dispute objects. A zero variance means those inputs tie under the App’s rules. It does not mean a certified public accountant, statutory auditor, or tax authority has examined the merchant’s accounts. A ledger note, waterfall, health score, or other output is a calculation aid. It is not a compilation, review, audit opinion, attestation, tax return, or statutory filing, and it is not prepared under any professional auditing or attestation standard.

You are responsible for your own books, tax positions, reserves, and filings. Have a qualified accountant review anything you intend to rely on for a close, a lender, an investor, a regulator, or a tax authority. Sentinel does not accept an engagement to provide those services by making the App available.

The math follows the objects Stripe returns. If Stripe’s object is incomplete, delayed, reversed later, or in a different currency from the bank deposit, a zero result can still be wrong for your general ledger. The App does not invent foreign-exchange markup that Stripe did not post as a fee. It does not treat a payout as complete when paging stopped early. You must not present the output to a third party as a certification by Sentinel.

4. Authority to bind the Stripe account

You represent and warrant that the person who installs or uses the App has explicit authority from the Stripe account holder to do all of the following: bind that account to these terms; install a Stripe App; grant the read permissions the App requests; and view balances, payouts, charges, refunds, disputes, and balance transactions for that account.

That authority may come from being an owner or administrator, or from a written delegation by someone who is. A Dashboard role that cannot install apps or view financial balances is not enough. You will not let a person without that authority open the App.

The merchant, not the individual user, is the customer. The merchant is responsible for its users’ activity in the App and for keeping Dashboard access limited to people who should see the books.

5. Permitted use

Sentinel grants the merchant a limited, non-exclusive, non-transferable, revocable right to use the App for the merchant’s own internal reconciliation of the Stripe account on which it is installed.

You will not:

6. Fees

Starter access, as described on the pricing page, does not require a subscription fee. Pro and Scale, when Sentinel offers them for purchase, are billed in advance at the prices stated at the time you subscribe. Annual prices are the prices stated on the page, not a separate discount calculated later. Stripe processes the subscription. Sentinel does not receive your card number.

Fees are exclusive of taxes. You are responsible for taxes other than tax on Sentinel’s own income. Fees already paid are non-refundable except where the law requires a refund, or where section 12 says Sentinel terminates for its own convenience.

If a paid subscription is past due, Sentinel may suspend the App, or the paid portion of it, after notice, and may terminate it if the amount remains unpaid. Suspension does not erase fees already incurred.

7. Stripe, availability, and things Sentinel does not control

The App runs only because Stripe loads it and answers its read requests. The following are outside Sentinel’s control, and Sentinel is not liable for them:

Sentinel does not promise that the App will be available without interruption, that a given Dashboard page will keep showing it, or that a payout larger than the page cap in the current build will finish. When paging stops, the App is designed to say the payout is incomplete and not to present that partial gap as a reconciled variance. You will not treat a stopped page as a finished tie-out.

Support is through https://stripesentinel.com/support. Sentinel does not promise a particular response time.

8. Intellectual property

Sentinel owns the App, its copy, and its calculation logic. You own your Stripe data and the books you keep. A ledger note you copy is your working paper. You receive no ownership of the App. You may not copy the App’s code except as the law allows for interoperability, and you may not present the App as your own product.

9. Warranties

The App and its output are provided “as is” and “as available.” To the maximum extent permitted by law, Sentinel disclaims every warranty, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. Sentinel does not warrant that a zero variance is a true and fair view of your accounts, that fee burn or foreign-exchange totals are the figure your accountant should book, or that the output will be accepted by a tax authority, auditor, bank, or investor.

Some jurisdictions do not allow a disclaimer of an implied warranty. In those jurisdictions the disclaimer applies to the fullest extent the law allows.

10. Limitation of liability

The cap is the fees you paid Sentinel for the App in the prior 12 months.

To the maximum extent permitted by law, Sentinel’s total aggregate liability arising out of or relating to the App, the output, or these terms will not exceed the fees you actually paid to Sentinel for the App during the twelve months before the event giving rise to the claim. If you paid no fees in that period, that cap is zero.

To the maximum extent permitted by law, Sentinel will not be liable for any indirect, incidental, special, consequential, cover, or punitive damages, or for any loss of profits, revenue, goodwill, or data, or for a tax, penalty, interest, restatement, audit adjustment, investor claim, or banking difference, whether or not Sentinel was advised the loss was possible, and whether the claim is in contract, tort, or otherwise.

The cap and the exclusions are allocated risk. The fees reflect them. They apply to the merchant and to its users together, not once per user. They do not limit liability for Sentinel’s fraud, or for a matter the law does not allow a business contract to limit, including death or personal injury caused by negligence where that limit is prohibited.

You will bring any claim within one year after you knew or should have known of the facts, or the claim is barred, except where a law requires a longer period.

11. Your responsibility for how the output is used

You will indemnify Sentinel and its directors, employees, and contractors against third-party claims, damages, and reasonable legal fees arising out of: your use of the output as a certified audit, attestation, or tax filing; a statement that Sentinel certified your accounts; an install or a view of balances by a person who lacked the authority in section 4; or your breach of section 5. Sentinel will give you prompt notice of the claim, and you will not settle it in a way that admits fault by Sentinel without Sentinel’s consent, which will not be unreasonably withheld.

12. Suspension, termination, and uninstall

You may stop using the App at any time by uninstalling it in the Stripe Dashboard. Uninstalling ends the read access Stripe had granted. These terms end with that uninstall, except the sections that by their nature should survive, including sections 3, 8, 9, 10, 11, and 14.

Sentinel may suspend or terminate the App, or a paid plan, if:

Sentinel may also stop offering the App for its own convenience, on at least 30 days’ notice where Stripe’s listing tools allow that notice. If Sentinel terminates for convenience and you have prepaid a period that has not started, Sentinel will refund the unused prepaid fees. Termination for non-payment or for your breach does not require that refund.

On any ending, Stripe’s revocation of access is the cutoff. Sentinel does not keep the ledger after that, because it did not keep the ledger before. A billing record, if one exists, is handled as the privacy policy describes.

13. Changes

Sentinel may change these terms by posting the new version at https://stripesentinel.com/terms and changing the effective date. If a change is material, Sentinel will post it before it applies and, where the App is installed, will give notice through the Stripe listing or the Dashboard when that channel is available. If you continue to use the App after the effective date, you accept the change. If you do not accept it, uninstall the App before that date. A change to the liability cap or to section 3 will not reduce a right you already have for a claim that arose before the effective date.

14. General

These terms are governed by the law of [Jurisdiction], without regard to conflict-of-law rules. The courts of [City, country] have exclusive jurisdiction, and each party consents to them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If a provision is unenforceable, it is modified to the minimum extent required, and the rest remains in force. A failure to enforce a provision is not a waiver. You may not assign these terms without Sentinel’s consent. Sentinel may assign them to a successor of the business. These terms and the privacy policy are the entire agreement about the App and replace earlier statements about it, except a written addendum signed by both parties. Stripe’s own services agreement governs your use of Stripe, not these terms.

Notices to Sentinel go through https://stripesentinel.com/support and to [Street, city, postal code, country]. Notices to you may be sent through the Stripe Dashboard or to the email on the Stripe account.
